Terms and Conditions

1. Definitions

“Services” means 1-2-1 Coaching & Mentoring, Team Capability & Leadership Development, or Organisational Capability & Culture Transformation, provided by Nick Lennon-Barrett.

“1-2-1 Coaching & Mentoring” means one-to-one coaching, mentoring, training, or advisory support delivered directly by Nick Lennon-Barrett.

“Team Capability & Leadership Development” means AI capability training, human-centric skills development, and leadership development delivered to teams and groups.

“Organisational Capability & Culture Transformation” means performance consulting, capability strategy, programme design, leadership development, AI readiness, and culture transformation delivered to organisations.

“Digital Products” means any courses, downloads, or learning materials I make available through third-party learning platforms, or through online bookstores for published books.

2. Contract Formation

A binding contract is formed when I issue a written confirmation or invoice following your booking request. All bookings are subject to availability and my acceptance.

3. Fees & Payment

Team, Organisational, and 1-2-1 Coaching engagements are invoiced in full on confirmation of the booking. Payment is due before the start date, with standard terms of 15 days from the invoice date. Travel and accommodation expenses are billed at cost and itemised separately.

For longer consulting assignments under Organisational Capability & Culture Transformation, fees will instead be billed monthly for the duration of the engagement, with each month’s invoice due on standard terms of 15 days.

Digital Products are sold through third-party learning platforms and online bookstores and are governed by that platform’s own payment terms, not mine. I am not the merchant of record for these sales.

Payment methods for my direct Services: bank transfer, credit/debit card, or another method agreed in writing.

4. Cancellation & Rescheduling

Team and Organisational engagements

• Cancel more than 28 days before the engagement: full refund.
• Cancel 14 to 28 days before: 50 % refund.
• Cancel within 14 days: no refund, any non-refundable expenses remain payable.

1-2-1 Coaching

• Reschedule up to 48 hours before your session at no cost.
• Cancel or reschedule with less than 48 hours’ notice and the session fee is forfeited.

Digital Products

• Refunds are handled by the third-party platform you purchased through, under its own refund policy.

All cancellation and rescheduling requests must be made in writing to [email protected].

5. Client Obligations

You agree to provide accurate information about participants, venue, and technical needs, to ensure any in-house venue is ready and accessible, and to obtain any permissions needed for recording sessions or sharing materials.

6. Intellectual Property

All materials, frameworks, and workbooks I provide remain my exclusive intellectual property. You get a limited, non-transferable licence to use them internally. None of it may be reproduced, shared, or resold without my prior written consent.

7. Confidentiality

Both parties will keep confidential information shared under these Terms secure and will not disclose it to any third party, except where required by law.

8. Limitation of Liability

My total liability for any claim arising from these Terms will not exceed the total fees you paid for the relevant Service. I am not liable for indirect, special, or consequential losses.

9. Data Protection

I process your personal data as described in my Privacy Policy. Enquiries submitted through my website contact form are sent directly to my email and are not stored in any database. By submitting your data, you consent to this processing and confirm you have the consent of any third parties whose data you provide.

10. Use of AI

I use a secure business AI account to support research, preparation, and content development. This account is not used to train any AI model. My Privacy Policy governs how any data is handled in this process, and final judgement, frameworks, and delivery are always mine.

11. Force Majeure

I am not liable for delay or failure to perform due to events beyond my reasonable control, including acts of God, government restrictions, strikes, or supply chain disruption. I will endeavour to reschedule affected Services.

12. Governing Law & Jurisdiction

These Terms are governed by English law. Any dispute is subject to the exclusive jurisdiction of the English courts.

13. Amendments

I may update these Terms from time to time. The revised version will be posted here with an updated date. Continuing to use my Services means you accept the new Terms.
